1. Acceptance of Terms

Please read these Terms and Conditions carefully. These terms constitute a legally binding agreement between the user ("you", "your") and Help263 concerning your access to and use of Help263's virtual SIM (eSIM) services, website, and mobile application.

By accessing the application or services, you agree that you have read, understood and agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Service.

2. Definitions

  • Help263 / We / Our / Us — Help263 Virtual SIM Services.
  • Virtual SIM / eSIM — the digital SIM service provided by Help263.
  • Service — the virtual SIM connectivity, data bundles, and related services.
  • User / Customer — any individual or entity that uses the Service.
  • Corporate Account — an account established for a business entity.
  • Individual Account — an account established for a natural person.
  • DPA — the Botswana Data Protection Act No. 18 of 2024.
  • RICA — Regulation of Interception of Communications Act.
  • ZAR — South African Rand.

3. Service Description

Help263 provides virtual SIM (eSIM) solutions enabling connectivity across multiple mobile networks in South Africa. Our service includes:

  • One Virtual SIM connecting to multiple mobile networks for reliable coverage.
  • Transparent Pricing — flat-rate pricing displayed in South African Rand (ZAR).
  • Flexible Payment Plans — individual prepaid and corporate post-paid options.
  • Digital Platform — purchase and activation through our website and mobile app.
  • Account Management — data top-ups, usage monitoring, and account management features.

4. Eligibility

  • 4.1 Age Requirement: you must be at least 18 years of age to register.
  • 4.2 Accurate Information: you must provide accurate and complete information, including identification documents for RICA compliance.
  • 4.3 Corporate Accounts: must be established by authorised representatives of the business entity.
  • 4.4 Device Compatibility: you are responsible for ensuring your device is compatible with the eSIM service.

5. Registration and Account

  • Account Creation — provide accurate personal or corporate information.
  • Credential Security — you are responsible for the confidentiality of your credentials.
  • Account Activity — you are responsible for all activities on your account.
  • Unauthorised Use — notify us immediately of any unauthorised use.
  • RICA Compliance — provide required identification documents for RICA verification.

6. Payment Terms

6.1 Individual (Prepaid) Accounts

  • Payment is required at the time of purchase.
  • Payment methods: credit/debit card, mobile money and other methods as available.
  • Prices are in ZAR and include all applicable taxes.
  • Top-ups are processed immediately upon successful payment.

6.2 Corporate (Post-paid) Accounts

  • Subject to a credit assessment and approval process.
  • Monthly invoices issued at the end of each billing cycle.
  • Payment terms specified in the corporate agreement.
  • Consolidated billing available for all SIMs under the corporate account.
  • Spending limits or budgets may be assigned.
  • Overdue payments subject to interest and collection action.

7. User Obligations

7.1 Compliance: use the Service in accordance with all applicable laws and regulations.

7.2 Prohibited Activities — you must not:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Resell or redistribute the Service without our express written consent.
  • Interfere with or disrupt the Service or networks.
  • Transmit malicious or harmful content.
  • Attempt to gain unauthorised access to our systems.
  • Use the Service to harass, threaten, or abuse others.

7.3 Device Compatibility: you are responsible for ensuring your device is compatible with the eSIM service.

8. Corporate Account Terms

8.1 Features: flexible payment plans, cost control (spending limits and usage monitoring), itemised billing per SIM, and dedicated account management support.

8.2 Corporate Responsibilities:

  • Ensuring all employees using the Service comply with these Terms.
  • Managing user accounts and usage within the organisation.
  • Payment of all charges incurred under the corporate account.
  • Regular review of usage and charges.

9. Service Availability

  • We strive to provide continuous and reliable service but do not guarantee uninterrupted connectivity.
  • Service may be affected by network outages, device compatibility, and regulatory requirements.
  • We may suspend or terminate Service for maintenance, upgrades, or security reasons.
  • Reasonable notice will be provided for scheduled maintenance where possible.
  • Immediate suspension may occur for security, fraud, or emergency reasons.

10. Intellectual Property

10.1 Ownership: all intellectual property rights in the Service, website, and app are owned by Help263 or its licensors.

10.2 Restrictions — you may not:

  • Copy, modify, reverse engineer, or create derivative works of our intellectual property.
  • Remove or alter any proprietary notices.
  • Use our trademarks without permission.

11. Limitation of Liability

11.1 Exclusion: to the fullest extent permitted by law, Help263 excludes all liability for damages arising out of or in connection with your use of the Service.

11.2 Covered Damages include, without limitation: direct loss, loss of business or profits, damage to your device or data, and indirect or consequential damages.

11.3 Cap: our total liability shall not exceed the total amount paid by you for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Help263 harmless from any claims, losses, liabilities, damages, costs, or expenses arising from your breach of these Terms, your use of the Service, any violation of law by you, or claims by third parties.

13. Termination

13.1 By You: you may terminate your account at any time by notifying us.

13.2 By Us: we may suspend or terminate your account immediately if you breach these Terms, fail to pay amounts due, we suspect fraudulent or illegal activity, we are required by law, or you engage in conduct that harms our reputation.

13.3 Effects: upon termination you will no longer have access to the Service, unused balances may be forfeited, outstanding payments remain due, and our intellectual property rights remain protected.

14. Force Majeure

Neither party shall be liable for any failure to perform its obligations due to events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government actions, telecommunications outages, and power failures.

15. Governing Law and Dispute Resolution

  • 15.1 Governing Law: the laws of the Republic of Botswana.
  • 15.2 Jurisdiction: the exclusive jurisdiction of the courts of Botswana.
  • 15.3 Negotiation: parties shall first attempt in good faith to resolve any dispute through negotiation.
  • 15.4 Mediation: if negotiation fails, mediation may be attempted.
  • 15.5 Legal Action: if mediation fails, the matter may be referred to the courts.

16. Amendments

We reserve the right to amend these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Service constitutes acceptance of the amended Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of such provision.

19. Entire Agreement

These Terms constitute the entire agreement between you and Help263 regarding the Service.
